Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Cellopack ("Cellopack," "we," "us," and "our").

These Terms govern your use of the Cellopack website at cellopack.xyz, any related subdomains, and the account, profile, verification, vouching, trust, reporting, and related services we provide through them. We refer to all of these together as the "Service."

Our Privacy Policy explains how we collect, use, share, and protect information. By using the Service, you also agree to our Privacy Policy.

To use Cellopack, you must:

• Be at least 18 years old
• Be able to form a binding contract under the laws that apply to you
• Not be barred from using the Service under applicable law
• Not have been previously suspended or removed from the Service unless we have given you written permission to return

Cellopack is intended for individual collectors and trust-based collector activity. Separate terms may apply to business, organizational, commercial, or partner programs.

You are responsible for your account and all activity that occurs through it.

You agree to provide accurate information and keep your account information up to date.

Cellopack uses passwordless email codes. You are responsible for keeping access to your email account secure. Anyone who can access your email may be able to access your Cellopack account.

You may not create or use multiple accounts to manipulate trust signals, vouches, reports, verification, search visibility, moderation, or other parts of the Service.

We may reserve, restrict, reclaim, or remove usernames that:

• Impersonate another person, business, platform, or organization
• Create confusion
• Violate someone else's rights
• Include system terms, reserved words, or role-based terms
• Violate these Terms or our policies
• Create security, trust, or moderation concerns

You may delete your account through your account settings or by contacting us. Account deletion may include a grace period during which you can cancel the deletion request.

After the grace period, we delete or de-identify account information from active systems, except where retention is needed for security, fraud prevention, legal compliance, dispute resolution, backups, audit purposes, or enforcement of these Terms.

Cellopack is designed to help collectors create public trust profiles.

Your profile is public by default unless you make it private. A public profile may be viewed by others, shared, indexed by search engines, and associated with your collector identity.

Public profile information may include:

• Username
• Display name
• Bio
• Profile photo
• Linked accounts
• Verification status
• Vouches given and received
• Trust-related activity history
• Other information you choose to make public

You are responsible for the information you choose to make public. Do not add information to your profile that you do not want others to see, share, or associate with you.

You may make your profile private through your account settings. When your profile is private, it is not publicly viewable, but we may still process account information as described in these Terms and our Privacy Policy.

You retain ownership of the content you submit, upload, link, display, or otherwise make available through the Service.

"Your Content" may include:

• Profile information
• Display name
• Bio
• Profile photo
• Linked accounts
• Vouches
• Reports
• Messages
• Feedback
• Other materials you provide through the Service

By submitting Your Content to the Service, you grant Cellopack a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, modify for formatting, distribute, and otherwise use Your Content as needed to operate, provide, secure, moderate, and improve the Service.

This license allows us to do things like display your public profile, show linked accounts, display vouches, generate previews, process reports, respond to support requests, investigate abuse, and operate trust and safety features.

We do not claim ownership of Your Content.

You represent and warrant that you have the rights needed to provide Your Content and grant this license. You may not submit content that violates law, infringes someone else's rights, exposes private information without permission, or violates these Terms.

The license ends when you remove Your Content or delete your account, except where retention is needed for security, fraud prevention, legal compliance, dispute resolution, backups, audit purposes, trust and safety, or where Your Content has already been shared with or made available to others through the Service.

If you send us ideas, suggestions, bug reports, feature requests, comments, or other feedback, you allow us to use that feedback without restriction or compensation.

We may use feedback to improve, modify, or develop the Service.

Cellopack allows you to link external marketplace, social, and collector-related accounts to your profile.

A verified link means Cellopack has evidence that, at the time of verification, you controlled the linked external account.

Depending on the platform, verification may be established through an authorization flow, manual review, public profile review, backlink, or another method we support.

A verified link does not mean:

• We have verified your legal identity
• We have performed KYC or background checks
• We endorse you or the linked account
• We guarantee your trustworthiness
• We guarantee transaction safety
• We guarantee your future behavior
• We guarantee that the linked account has never been compromised, transferred, renamed, or misused

Verification may be revoked, removed, rechecked, or marked unavailable if:

• The linked account connection breaks
• The linked account is renamed, removed, suspended, deleted, or no longer accessible
• You revoke authorization
• We receive a credible report of fraud, impersonation, abuse, or misuse
• We determine verification was obtained improperly
• We otherwise believe revocation is needed to protect the Service or other users

You are responsible for making sure linked accounts are accurate, belong to you, and do not mislead others.

When verification uses an authorization flow, we request the minimum, read-only access needed to confirm the account is yours. For details on what we access through connected accounts and how we use it, see our Privacy Policy.

Cellopack offers an optional identity verification feature, provided through a third-party identity verification provider. Identity verification is available only to members with an active paid membership and only in jurisdictions supported by the verification provider.

An ID-verified status indicates that the verification provider confirmed, at the time of verification, that the person presented a government-issued identity document and a selfie that the provider's automated checks deemed to match that document.

An ID-verified status does not mean:

• We endorse you, your conduct, or any transaction
• We guarantee your trustworthiness, honesty, behavior, or future conduct
• We have performed a background check, criminal-record check, sanctions screen, or financial check
• We guarantee the accuracy, authenticity, validity, or current status of the underlying identity document
• We guarantee that the verification remains accurate over time, or that the verified person continues to control the Cellopack account
• We guarantee transaction safety, payment delivery, or product quality in any off-platform dealing

ID-verified status may be revoked, removed, suspended, marked unavailable, or hidden if:

• Your paid membership lapses, is canceled, or otherwise becomes inactive
• You request removal or redaction
• The verification provider notifies us that the verification has been canceled, expired, or redacted
• We receive a credible report of fraud, impersonation, abuse, account sharing, or misuse
• We determine the verification was obtained improperly or that the verified record is materially inaccurate
• We otherwise believe revocation is needed to protect the Service or other users

You may have a verified identity record on file even when ID-verified status is not displayed on your profile. We may retain a verification record as needed for duplicate detection, fraud prevention, dispute resolution, legal compliance, or enforcement of these Terms, except where you request redaction or as required by applicable law.

The handling of identity documents, selfies, and related verification information is described in our Privacy Policy and our Subprocessors list.

A vouch is a public trust signal from one Cellopack member to another.

Vouches are not paid endorsements, guarantees, insurance, transaction protection, or verification of identity. Cellopack does not endorse a user simply because that user has received vouches.

By giving a vouch, you represent that:

• You have a real basis for the vouch
• The vouch reflects your honest belief or experience
• You are not being paid or compensated to give the vouch
• You are not using a fake, duplicate, or alternate account
• You are not coordinating with others to manipulate reputation signals

You may revoke a vouch. We may also remove, hide, limit, or discount vouches that we believe violate these Terms, manipulate trust signals, involve fraud, involve sock-puppet accounts, are part of coordinated activity, or otherwise harm the integrity of the Service.

If a vouch is revoked or removed, we may retain records of the prior vouch and related activity for trust, safety, fraud prevention, audit, legal, and dispute-resolution purposes.

Cellopack is not a party to transactions between users.

Cellopack does not:

• Process payments between users
• Hold funds in escrow
• Ship items
• Inspect items
• Authenticate trading cards or other goods
• Guarantee item condition
• Guarantee delivery
• Guarantee payment
• Guarantee a buyer, seller, or trader's behavior
• Resolve transaction disputes unless we expressly agree otherwise

You are solely responsible for your transactions, communications, payments, shipments, trades, purchases, sales, and other dealings with other users or third parties.

Use your own judgment before entering a transaction. Verified links, vouches, activity history, and other trust signals may help provide context, but they are not guarantees.

Cellopack offers optional paid memberships. Subscription terms, including price, term length, billing frequency, included features, and any applicable taxes, are presented at the time of purchase. By purchasing a paid membership, you authorize Cellopack and its payment processor to charge the payment method you provide.

Subscriptions are billed in advance in a single charge for the full term you select (for example, three, six, or twelve months).

Subscriptions automatically renew at the end of each term at the then-current price for that term length, unless you cancel renewal before the renewal date. We may change subscription prices, plans, or features with reasonable advance notice. Continued use of the paid features after a change becomes effective constitutes acceptance of the change.

You may cancel renewal at any time from your account settings or through the payment processor's customer portal. Cancellation stops future renewals; access to paid features continues through the end of the period for which you have already paid, after which paid features end automatically.

Seven-day refund. You may request a full refund of your initial subscription purchase within seven days of that purchase by contacting Cellopack support. If a refund is issued, your subscription is canceled immediately and access to paid features ends at the time of the refund. Refunds outside the seven-day window are not generally provided, except where required by applicable law.

Payment processing is handled by our third-party payment processor. You are responsible for keeping a current and valid payment method on file. If a renewal payment fails, your subscription may be downgraded, suspended, or canceled, and paid features may become unavailable. We may attempt to charge the payment method on file in accordance with the payment processor's retry policy.

If we suspend or terminate your account in accordance with these Terms, we may cancel your subscription without a refund of unused time, except where required by applicable law.

The handling of billing and subscription information is described in our Privacy Policy and our Subprocessors list.

Cellopack may allow you to link to, display, or interact with third-party marketplaces, social platforms, payment services, websites, profiles, or other services.

Cellopack does not control third-party services and is not responsible for their content, actions, policies, availability, security, or practices.

Your use of third-party services is governed by their own terms and policies.

Cellopack is not affiliated with, endorsed by, sponsored by, or officially connected to any third-party marketplace, social platform, card company, grading company, payment provider, or linked service unless we expressly say so.

You may not use Cellopack to do any of the following:

• Impersonate another person, business, platform, organization, or collector
• Misrepresent your identity, affiliations, linked accounts, trust signals, or transaction history
• Buy, sell, trade, coordinate, or manipulate vouches
• Create fake, duplicate, or sock-puppet accounts
• Brigade, manipulate, or abuse reports
• Post scam links, phishing links, malware, or deceptive content
• Defraud, deceive, threaten, harass, stalk, dox, or harm others
• Promote or facilitate illegal activity
• Submit content that infringes intellectual property rights
• Expose private information without permission
• Evade suspension, moderation, restrictions, or enforcement actions
• Use disposable, automated, or misleading account methods to abuse the Service
• Scrape, crawl, harvest, mass-download, or automate access to the Service without permission
• Interfere with, disrupt, overload, damage, or impair the Service
• Test, scan, probe, or attack the Service without authorization, except for good-faith security research conducted responsibly and reported to us
• Use the Service in a way that violates applicable law, these Terms, or our policies

We may remove content, restrict features, hide profiles, suspend accounts, terminate accounts, or take other action if we believe these Terms have been violated or if action is needed to protect users, third parties, or the Service.

Security concerns should be reported to safety@cellopack.xyz.

You may report a profile, link, vouch, or other activity that you believe violates these Terms.

After reviewing a report or identifying an issue, we may take action including:

• Dismissing the report
• Removing a link
• Removing or revoking a vouch
• Hiding a profile from search
• Making a profile not publicly viewable
• Restricting account features
• Suspending an account
• Terminating an account
• Retaining records for trust, safety, fraud prevention, legal, audit, or dispute-resolution purposes

We may notify affected users when we take moderation action, but we are not required to provide notice when doing so would create risk, compromise an investigation, violate law, or harm another user's safety or privacy.

You may appeal certain moderation actions by contacting safety@cellopack.xyz. Include the affected username, the action you are appealing, and a brief explanation.

Appeals will be reviewed in a reasonable manner. When reasonably practical, an appeal may be reviewed by someone not involved in the original decision.

We reserve final discretion over moderation decisions, subject to applicable law.

You may stop using Cellopack at any time. You may also delete your account through your account settings or by contacting us.

We may suspend, restrict, or terminate your access to the Service, with or without notice, if we reasonably believe:

• You violated these Terms
• You created risk for other users, third parties, or the Service
• Your account is associated with fraud, abuse, impersonation, harassment, or manipulation
• We are required to do so by law
• Continuing to provide access would create legal, security, operational, or trust and safety concerns

If we offer paid services in the future, additional payment or subscription terms may apply.

Sections of these Terms that by their nature should survive termination will survive, including sections related to Your Content, transactions between users, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

The Service is provided "as is" and "as available."

To the maximum extent permitted by law, Cellopack disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, availability, security, accuracy, and reliability.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Information on the Service will always be accurate or current
• Verified links will remain accurate after verification
• Vouches will reflect a user's future behavior
• Trust signals will prevent fraud, scams, disputes, or loss
• Transactions between users will be safe, successful, or dispute-free

You use the Service and rely on trust signals at your own risk.

To the maximum extent permitted by law, Cellopack will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, reputation, transactions, items, opportunities, or other intangible losses.

This limitation applies to claims arising out of or related to:

• Your use of or inability to use the Service
• Public profiles
• Linked accounts
• Verification
• Vouches
• Activity history
• Reports or moderation decisions
• Transactions or communications between users
• Third-party services
• Unauthorized access, security incidents, or data loss
• Content submitted by users or third parties

To the maximum extent permitted by law, Cellopack's total liability for any claim related to the Service is limited to the greater of:

• The amount you paid Cellopack in the twelve months before the claim, or
• US $100

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the smallest amount permitted by law.

You agree to indemnify, defend, and hold harmless Cellopack and its owners, officers, employees, contractors, agents, service providers, and affiliates from and against any claims, demands, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Service
• Your Content
• Your linked accounts
• Your vouches
• Your transactions or communications with other users or third parties
• Your violation of these Terms
• Your violation of applicable law
• Your violation of another person's or entity's rights
• Fraud, abuse, impersonation, harassment, or other harmful conduct associated with your account

We reserve the right to control the defense of any matter subject to indemnification. You agree to cooperate with our defense of those claims.

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-laws principles.

You and Cellopack agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Clay County, Missouri, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, security, or the integrity of the Service.

You and Cellopack consent to the personal jurisdiction and venue of those courts.

We may update these Terms from time to time.

When we make changes, we will update the "Last updated" date above. If we make material changes, we may notify you by email, in-app notice, banner, or another reasonable method.

The current version of these Terms will be available at cellopack.xyz/terms.

Your continued use of the Service after updated Terms take effect means you accept the updated Terms.

Entire agreement

These Terms, together with the Privacy Policy and any other terms or policies we expressly reference, are the entire agreement between you and Cellopack regarding the Service.

Severability

If any part of these Terms is found unenforceable, the remaining parts will remain in effect.

No waiver

Our failure to enforce any part of these Terms is not a waiver of our right to enforce it later.

Assignment

You may not assign or transfer these Terms without our consent. We may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.

No third-party beneficiaries

These Terms do not create rights for anyone other than you and Cellopack, unless expressly stated otherwise.
